Welcome to Stone Ape Inc. hereinafter refered to as [PLATFORM]. By accessing or using our services, you agree to these Terms of Service hereinafter referred to as [TERMS]. If you do not agree, do not use our Platform.

Definitions

User:An individual who registers, accesses, or interacts with the Platform, including posting content and engaging with other users.

Service:The features, functionalities, and content provided by Stone Ape Inc., including social interactions, advertisements, and communication tools.

1. Acceptance of Terms

By registering for an account, accessing, or using Stone Ape Inc., you agree to abide by these Terms, our Privacy Policy, and any other applicable policies.

2.Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are under 18, you may use the Service only with the consent of a parent or legal guardian who agrees to be bound by these Terms.

3.User Conduct

When using Stone Ape Inc., you agree not to:

• Post illegal, infringing, defamatory, hateful, harassing, or deceptive content, or content that violates others privacy or publicity rights.
• Engage in spamming, phishing, or impersonation.
• Upload malware or attempt to disrupt, reverse engineer, or interfere with the Service.
• Violate any laws or infringe intellectual property rights.
• Interfere with the Platforms operations, including attempting to hack or disrupt services.
• Impersonate others or misrepresent your affiliation.
• Post others personal information or jobsite imagery without permission.
• Use the Service in a manner that violates applicable laws or regulations.

4.Content Owership and License

By posting or uploading User Content, you grant Stone Ape a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, cache, reproduce, modify (for formatting, compression, thumbnails, and moderation), create derivative works, publicly display, publicly perform, distribute, and otherwise use your User Content solely to operate, provide, improve, and promote the Service, including making backups, transcoding media, and analyzing content for safety and search. This license continues until you delete the User Content from the Service. After deletion, we may retain copies for a commercially reasonable period in backups, audit logs, dispute resolution, or to comply with law and valid legal requests.

4.1 Sublicense to Service Providers

You authorize us to sublicense User Content to trusted vendors we use to operate the Service (for example, Cloudinary for media storage/processing and Stream for in-app messaging) solely for Service-related purposes and subject to appropriate safeguards.

4.2 Your representation & warranties

ou represent and warrant that: (a) you own the User Content or have obtained all necessary rights, licenses, consents, and permissions to grant the license above; (b) your posting and our use of the User Content do not infringe or violate any third-party rights; and (c) if your User Content includes images/video from jobsites, client premises, employees, or third parties, you have obtained permission to share it. You agree to indemnify Stone Ape for any claims arising from User Content that breaches this Section.

4.3 Feedback

If you provide suggestions, ideas, or feedback, you grant Stone Ape a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

5.Advertising and Monetization

The Platform may display advertisements tailored to users. We may share aggregated user data with advertisers but will not share personally identifiable information without consent.

6.Account Suspenstions and Termination

We may suspend or terminate your account if you violate these Terms. Users can delete their accounts at any time.

7.Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not promise the Service will be uninterrupted or error-free, nor do we pre-screen all User Content. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STONE APE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR SERVICE INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US (IF ANY) IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) CAD $100. Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted by law.

8.Modifications to Terms

We may modify the Service and update these Terms from time to time. We will post changes and update the “Effective Date.” If you continue to use the Service after changes take effect, you accept the updated Terms.

9.Governing Law

These Terms are governed by the laws of Prince Edward Island, Canada, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the provincial or federal courts located in Prince Edward Island, and you consent to their jurisdiction.

Accounts & Security

11. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. Notify us immediately at legal@stoneape.ca of any unauthorized use or security breach.

12. Moderation

We may, at our discretion and without notice, remove, restrict, or refuse any User Content and suspend or terminate Accounts that violate these Terms, our Community Guidelines (if published), or applicable law.

13. Reporting & Takedown; Repeat Infringers

We respect intellectual property rights. If you believe content infringes your rights, please use in-app reporting tools or email legal@stoneape.ca with details (link(s) to the content, description of your rights, and contact information). We will review and, where appropriate, remove or restrict content and notify the uploader. We may terminate accounts of repeat infringers.

14. Subscriptions & Purchases

14.1 In-app purchases - iOS-Storekit

On iOS, subscriptions (e.g., Stone Ape Pro) are offered via Apples in-app purchase system. Apple is the merchant of record for those purchases. Billing, renewals, refunds, and cancellations are handled by Apple. To manage or cancel, go to Settings → [Your Name] → Subscriptions or open App Store → Account → Subscriptions. Benefits remain available until the end of the current billing period.

14.2 Webapp purchaes - Stripe

On the web, we may offer subscriptions via Stripe. Stripes terms and your selected plan govern billing cycles, renewals, and cancellations. Web purchases do not create a payment relationship with Apple. If you subscribe on the web and then sign in on iOS, your entitlements will be available in the app.

14.3 Auto-renewels & Pricing

Subscriptions auto-renew until cancelled. We may change pricing with reasonable notice (and as permitted by Apple/Stripe). Taxes may apply. If a price change requires your consent, renewal occurs only after consent or after the current period ends.

14.4 No Lawful Refund Commitments

For iOS purchases, refund requests must be directed to Apple. For web purchases, see your Stripe receipt or our web billing page.

15. Privacy

Our Privacy Policy explains how we collect, use, disclose, and safeguard information. By using the Service, you consent to the practices described there.

Third-Party Services/Processors

We may use third-party providers to host, process, and transmit data and media (e.g., Cloudinary for media and Stream for in-app messaging). We may also integrate third-party SDKs subject to their terms. We are not responsible for third-party websites or services not controlled by us.

16. Stone Apes Intellectual Property

The Service, including software, designs, logos, trademarks, and all non-User-Content materials, are owned by Stone Ape or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights are transferred to you.

Indemnification

You agree to defend, indemnify, and hold harmless Stone Ape and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or rights of any third party.

Termination

You may stop using the Service at any time. We may suspend or terminate your Account or access to the Service at any time, including for violations of these Terms, risk of legal exposure, or prolonged inactivity. Upon termination, sections that by nature should survive will survive (including §§5 - 15).

Export & Compliance

You agree to comply with all applicable export control, sanctions, and anti-corruption laws. You represent you are not located in, under the control of, or a national/resident of any country or region subject to comprehensive embargoes or sanctions.

Miscellaneous

Entire Agreement: These Terms and any policies referenced herein constitute the entire agreement between you and Stone Ape regarding the Service. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Severability: If any provision is found unenforceable, the remainder will remain in effect. Waiver: Our failure to enforce a provision is not a waiver of our right to do so later. Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
